1. About Funda Sourcing

Funda Sourcing provides information and business support relating to product sourcing, supplier identification, product development, packaging, quality control, inspections, manufacturing coordination, logistics, and related supply-chain services.

The Site is intended primarily for businesses, entrepreneurs, purchasing teams, brand owners, and other commercial users.

2. Informational Purposes Only

The information provided on the Site is for general informational and business-development purposes.

Nothing on the Site constitutes:

• a binding quotation;
• acceptance of a project;
• a guarantee of pricing, production capacity, lead time, product performance, regulatory compliance, or delivery;
• legal, tax, customs, regulatory, financial, or technical advice; or
• a binding commitment by Funda Sourcing, a supplier, manufacturer, logistics provider, or other third party.

Any pricing, minimum order quantity, production timeline, freight estimate, product specification, factory information, or other project-related information may change after further review.

3. Separate Project Agreements

Submitting an inquiry, scheduling a meeting, requesting a quotation, or communicating with us does not by itself create a client relationship, agency relationship, partnership, fiduciary relationship, or binding service agreement.

A project becomes binding only when the applicable parties enter into a written agreement, approve a quotation or purchase order, pay an invoice or deposit, or otherwise provide written acceptance under agreed commercial terms.

Any signed service agreement, quotation, purchase order, invoice, nondisclosure agreement, or other project-specific document will control over these Terms if there is a conflict.

4. Eligibility and Authority

You must be at least 18 years old to use the Site.

If you use the Site on behalf of a company or other organization, you represent that you have authority to act for that organization and to provide the information submitted through the Site.

5. Information and Materials You Provide

You agree that information you submit through the Site or send to us will be accurate to the best of your knowledge.

You may provide product concepts, specifications, drawings, packaging files, reference images, website links, forecasts, quantities, timelines, or other project information.

You represent that:

• you have the right to provide those materials;
• our review or permitted use of those materials will not violate another party's intellectual-property, privacy, contractual, or other rights;
• the proposed project is lawful; and
• the information is not intentionally misleading, fraudulent, defamatory, or harmful.

You remain responsible for verifying final product specifications, labeling, claims, intellectual-property rights, regulatory requirements, import requirements, certifications, and suitability for your intended market.

6. Confidentiality

Submitting information through the Site does not automatically create a confidential relationship.

Do not submit trade secrets, highly sensitive information, unreleased proprietary formulas, passwords, payment-card information, government identification numbers, or other sensitive information through a general website form.

Confidentiality obligations apply only when they are included in a separate written nondisclosure agreement or other written agreement signed or accepted by the applicable parties.

7. Suppliers and Other Third Parties

Manufacturers, suppliers, laboratories, inspection companies, freight forwarders, customs brokers, warehouses, and other third parties may be independent businesses that are not owned or controlled by Funda Sourcing.

We may assist with identifying, communicating with, evaluating, or coordinating third parties, but the availability, performance, statements, certifications, conduct, production quality, and legal compliance of those parties may be outside our direct control.

Unless otherwise stated in a separate written agreement, you are responsible for reviewing and approving suppliers, samples, specifications, packaging, testing requirements, regulatory documentation, commercial terms, and final production decisions.

8. Intellectual Property

The Site and its original content, including text, graphics, logos, page layouts, photographs, videos, design elements, downloads, and software, are owned by or licensed to Funda Sourcing and are protected by applicable intellectual-property laws.

You may view and use the Site for your internal business evaluation and legitimate sourcing needs.

You may not, without prior written permission:

• reproduce substantial portions of the Site;
• copy or use our branding, logo, photographs, graphics, or original content;
• publish Site content as your own;
• sell, sublicense, scrape, harvest, or commercially exploit Site content;
• remove copyright, trademark, or proprietary notices; or
• use the Site to create a competing database or service.

"Funda Sourcing," its logo, and related branding may be trademarks or trade names of their respective owner.

9. Acceptable Use

You may not use the Site to:

• violate any applicable law or regulation;
• submit false, fraudulent, malicious, or unlawful inquiries;
• infringe another party's rights;
• upload malicious code or attempt unauthorized access;
• interfere with the Site's operation or security;
• use automated systems to excessively access or scrape the Site;
• impersonate another person or business;
• collect information about other users without authorization; or
• send unsolicited advertising, spam, or abusive communications.

We may restrict or terminate access when we reasonably believe the Site is being misused.

10. Third-Party Links and Embedded Content

The Site may contain links to or content from third-party websites and services, including social-media platforms, video providers, manufacturers, service providers, and industry resources.

Third-party websites operate under their own terms and privacy practices. We do not control and are not responsible for their availability, content, security, accuracy, products, services, or practices.

A link, reference, or embedded item does not necessarily constitute an endorsement.

11. No Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."

FUNDA SOURCING DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES RELATING TO THE SITE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

Nothing in this section limits warranties or obligations expressly provided in a separate written project agreement.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FUNDA SOURCING AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SITE.

THIS INCLUDES LOSS OF PROFITS, SALES, BUSINESS OPPORTUNITIES, DATA, REPUTATION, OR BUSINESS INTERRUPTION.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING SOLELY FROM YOUR USE OF THE SITE WILL NOT EXCEED USD $100.

This limitation applies only to use of the Site. Liability relating to a paid project may be governed by the applicable project agreement.

Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Funda Sourcing and its owners, officers, employees, contractors, representatives, and affiliates from claims, damages, losses, liabilities, and reasonable expenses arising from:

• your misuse of the Site;
• your violation of these Terms;
• information or materials you submit;
• your infringement of another party's rights; or
• an unlawful product, request, specification, claim, or activity initiated by you.

14. Site Availability and Changes

We may update, suspend, restrict, or discontinue any part of the Site at any time.

We are not responsible for losses caused by scheduled maintenance, technical problems, third-party outages, security incidents, or circumstances outside our reasonable control.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules.

Any dispute arising solely from use of the Site will be brought in a state or federal court with jurisdiction in Franklin County, Ohio, unless applicable law requires another forum.

Project-specific disputes may be governed by the dispute provisions contained in the applicable project agreement.

16. Changes to These Terms

We may revise these Terms when our Site, services, business practices, or legal obligations change.

The updated version will be posted on this page with a revised "Last Updated" date. Your continued use of the Site after an update constitutes acceptance of the revised Terms.

17. Severability and Waiver

If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a reorganization, merger, sale, or transfer of the business or Site.
